Video Helper Terms of Service

Before using Video Helper (hereinafter referred to as "the App"), please carefully read and fully understand all terms of this agreement. By using the App, you acknowledge that you have read, understood, and agree to be bound by all terms of this agreement.

1. Service Description

The App is developed and operated by Baize Inc. (hereinafter referred to as "we" or "us"), and is a mobile application that provides video editing and management tools for users.

The App is a local video editing and management tool. All video processing happens directly on your device. We do not upload, store, or transmit your video content to any external servers. Your videos remain private and secure on your device.

3. Intellectual Property

3.1 App Intellectual Property

All intellectual property rights of the App (including but not limited to software code, interface design, trademarks, logos, and documentation) belong to Baize Inc. Without express written permission, no one may copy, modify, decompile, reverse engineer, or otherwise use any part of the App.

3.2 User Content

Users retain all intellectual property rights to videos they import and edit using the App. We do not claim any ownership rights over your content. All edited videos are saved directly to your device's photo library and remain under your control.

5. Paid Services and Subscriptions

New users can enjoy a 3-day free trial period for any subscription plan. After the trial period ends, the subscription will automatically renew and be charged unless canceled. Users can cancel the subscription at any time during the trial period through their Apple ID account settings to avoid charges.

5.4 Auto-Renewal

Subscription services use an auto-renewal model. Your Apple ID account will be automatically charged within 24 hours before the end of each subscription period. You can manage or cancel auto-renewal at any time in your device's Settings → [Your Name] → Subscriptions.

5.5 Refund Policy

All purchases are processed through Apple's App Store and are subject to Apple's refund policies. Refund requests must be submitted directly to Apple Support. We do not have access to Apple's transaction records and cannot process refunds directly.

5.6 Price Changes

We reserve the right to adjust subscription prices at any time. Price changes will take effect in the next billing cycle after your current subscription period ends. You will be notified of price changes in advance.

6. Privacy Protection

We value your privacy and are committed to protecting your personal information. For detailed information on how we collect, use, and protect your data, please refer to our Privacy Policy.

7. Advertising Services

Free users will see advertisements powered by Google AdMob during app usage. We are not responsible for the content or accuracy of third-party advertisements. Pro members enjoy an ad-free experience.

8. Service Changes and Termination

8.1 Service Updates

We continuously improve the App and may update features, user interface, or functionality at any time. We will notify users of significant changes through in-app notifications or other appropriate means.

8.2 Account Suspension

If we determine that a user has violated any terms of this agreement, we reserve the right to suspend or terminate the user's access to the App without prior notice and without liability.

8.3 User-Initiated Termination

Users may stop using the App at any time by uninstalling it from their device. Upon uninstallation, all locally stored data will be permanently deleted and cannot be recovered. Subscription cancellation must be done through Apple ID settings.

9. Agreement Modifications

We reserve the right to modify this agreement at any time. When we make changes, we will update the "Last Updated" date and notify users through in-app notifications or other appropriate means. Your continued use of the App after changes are posted constitutes your acceptance of the modified terms. If you do not agree with the modified terms, you should immediately stop using the App.

10. Limitation of Liability

10.1 Liability Cap

To the maximum extent permitted by law, our total liability to you for any claims related to the App shall not exceed the amount you paid for Pro membership in the twelve (12) months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

11.1 Governing Law

This agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from or related to this agreement shall first be resolved through good faith negotiation between the parties. If negotiation fails within 30 days, either party may submit the dispute to the Hong Kong International Arbitration Centre for binding arbitration in accordance with its arbitration rules. The arbitration award shall be final and binding on both parties.

12. General Provisions

12.1 Entire Agreement

This agreement, together with our Privacy Policy, constitutes the entire agreement between you and us regarding your use of the App and supersedes all prior oral or written agreements.

12.2 Severability

If any provision of this agreement is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision of this agreement shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

12.4 Assignment

You may not assign or transfer this agreement or any rights or obligations hereunder without our prior written consent. We may assign this agreement without restriction.

12.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, or government actions.
